(New York, NY) Rep. PE firms, inv. firms, int’l banks, net
lease REITs, developers in transactions incl. acq’s, sales, mortgage
financings, mezz. financings, bridge loan financings, constr. loan financings,
JVs, loan purchases & assumptions, bank & bond transactions. Prepare primary
transaction docs, incl. purchase & sale agr’s, JV agr’s, deeds in lieu of
foreclosure, operating leases. Review terms & cond’s of financing documentation
w/ mortgage & mezzanine lenders, incl. terms & cond’s of loan agr’s, mortgages,
guaranties, promissory notes, cash mgmt. agr’s. Prepare terms & cond’s of
commercial leases & subleases. Oversee real estate diligence processes. Advise
clients re: target property risks, incl. existing financial oblig., development
restrictions, operational & use restrictions, agreement transferability, title,
survey, zoning & environmental risks. Advise clients in M&A transact.
re: risks & econ. oblig. re: target companies’ real property assets &
liabs. $310,000 per year. Req’mts: JD or foreign equiv., NY Bar, 2 yrs of exp.
